Corporations update Q1 2020

At Carta, we’re constantly updating and enhancing our products to improve the experience and functionality available to our customers. We know that managing equity is important, so we want to ensure the best experience for everyone using our platform.

We’re excited to introduce quarterly product roundups, where we’ll go over the latest and greatest updates to the platform.

In Q1 2020, our R&D team’s focus was to improve the experience for our admin and legal users. Below we’ve highlighted a few of the product changes that will impact these users the most.

HR permissions

In March, we started rolling out HR permissions to a select group of clients and plan to have it enabled for all companies by mid-April. This feature allows you to provide the right level of access for HR personnel and better control who has full cap table access.

Even without full cap table access, HR personnel can still perform many of their regular duties such as drafting new grants and terminating grants upon an employee exits. In addition, granting this permission set helps redistribute the effort needed to maintain your cap table.

Pro tip: You can now add your HR team without granting full cap table access.

Exercise ledger with 83(b)

We improved the exercise ledger by adding key metrics to give you insight into exercise activity and 83(b) election management to assist with compliance and record keeping.

This improved exercise ledger makes it easier to track, manage, and approve exercises all in one place. The exercise metrics at the top provide additional oversight into exercise activity at your company. Additionally, you can:

  • Sort by all pending exercises to help maintain required company approvals.

  • Sort by early exercises to maintain and assist employees with 83(b) elections.

Built into the exercise ledger, Carta’s new 83(b) election management also helps both admins and employees stay on top of the 30-day window to file 83(b) elections. Admins can now see the status of 83(b) election filings for each employee and send reminders to their employees. Also, this feature can serve as a document storage to help companies maintain proper records of all 83(b) elections.

For clients with less than 400 stakeholders, this new exercise ledger with 83(b) experience is available. All other clients will receive access shortly. If you don’t have access and would like access sooner, reach out to your Customer Success Manager or the Carta Help Center.

Pro tip: Use the exercise ledger to better manage exercises and 83(b) elections.

Drafts V2

We’ve rebuilt how we draft and issue new securities. This new and improved drafting and issuance workflow includes an in-app spreadsheet to better support large data sets. It also includes advanced validations throughout the workflow to improve data accuracy and completeness of each security.

We’re rolling out this new drafting experience to companies throughout Q2. Keep in mind, the previous drafting experience will still be available for the foreseeable future. You can use both if needed or desired. Ultimately, Drafts V2 will be the default and primary flow to issue all securities on Carta.

Pro tip: Try the new drafting flow to take advantage of increased data validations and improved bulk drafting.

Scenario modeling export

Company admins and investors can now export their scenario models as Excel or PDF files. This feature lets company admins easily share their scenario model without having to add users to their Carta account. Also, users can quickly customize the model in Excel to fit their specific needs.

All companies on Carta with scenario modeling have access to export their reports as Excel or PDF files.

Pro tip: After you run a scenario model, further customize it or share it as an Excel or PDF file.
