Subscription Payment Terms and Conditions

These terms and conditions (the “Payment Terms”) between you and eShares, Inc. DBA Carta, Inc., and our current or future affiliates (“Carta,” or “we” or “us”) apply to any payment you make to us using a bank account, credit card, or debit card for subscription (“Subscription”) to the services we offer and one-time purchases (collectively referred to as “Service(s)”).  “You” and “your” refer to the person giving this consent and to any person you are authorized to represent with respect to use of the Service.  By authorizing payment(s) to us in connection with the Service, you are accepting and agreeing to these Payment Terms.

Your use of the Carta website at www.carta.com and Service(s) are also governed by our Terms of Service and Privacy Policy, as well as all other applicable terms, conditions, limitations and requirements contained on the Carta website, and applicable to each Service, all of which (as changed over time) are incorporated into these Payment Terms. 

IMPORTANT INFORMATION ABOUT SUBSCRIPTIONS

If you purchased a Subscription, payment authorization provided under these Payment Terms will continue for the length of the Service you’ve selected (e.g., Annual, Semi-Annual, etc.), and will automatically renew pursuant to the contract for the Service, for additional lengths of service, or monthly, for the length selected in the offer you selected and contracted for, at the rates in effect at the time, unless you cancel it or otherwise agreed to in writing.   To cancel your subscription entirely, please follow the instructions in the contract applicable to the Service.

  1. Payment Methods
    1. General Terms.
      1. We may elect to accept or decline any bank account, credit card or debit card for any reason, in our sole discretion.  If any payment date falls on a weekend or holiday, the payments may be processed on the next business day.
      2. If a recurring payment is not authorized, we will send you a notice at the email address you have provided to us. You will have 15 calendar days from that date to make alternative arrangements to make the payment.  If the payment is not made, we may cancel your access to the Service and/or any subscription you have contracted for within the Service, as further described below and subject to the contract for the Service agreed to by you and Carta.
    2. Bank Account Payments via EFT and/or Check.  By choosing to use a bank account as your payment method, you will be able to complete your purchase using any valid automated clearing house (“ACH”) enabled bank account at a United States-based financial institution or via check.  When you choose to pay for a Service using your bank account, you are authorizing Carta (or its agent) to obtain payment for all fees you incur or agree to incur for the Service, now in or in the future, via the use of the account information, at its option either to create and deposit a remote check drawn on such account, or to process an electronic fund transfer with an ACH debit (including applicable taxes, fees and shipping costs). 
    3. Credit and Debit Card Payments.  For some Services, we may accept payment by credit card or debit card.  Payment(s) for such Service(s) may only be made with a credit card or debit card that we accept and that has been issued to you as the cardholder, and for which you have provided us with the information we require to process payments (“Card”).  We may obtain updated information regarding your selected payment method as made available by your financial institution or through a Card updater service.   You are authorizing Carta (or its agent) to obtain payment of all fees you incur or agree to incur for the Service, either now or any time in the future, via charge(s) to the account accessed using the Card (including applicable taxes, fees and shipping costs). 
    4. Duration and Recurring Payments.  The authorization to debit your bank account or charge your Card will remain in effect until you cancel it in accordance with the procedures we establish, which may change from time to time and will be described on our website.  You may cancel this authorization at any time if you notify us at least 15 days prior to the next billing date.  If you agree to a recurring payment, you are authorizing regularly scheduled debits to the bank account or charges to the Card.  You will be charged the applicable payment for each billing period.  A receipt for each payment will be provided to you at the email address you have provided to us, and the charge will appear on the next periodic statement you receive for transactions on your bank statement or Card.  You agree that we are not required to provide you with prior notification of recurring payments unless the date or amount of the payment changes other than as provided for in your applicable Order Form, in which case we will send you a notice, addressed to the email address you have provided to us, prior to the date the payment is processed.
  2. Payment Information.  All payments must be in U.S. Dollars or the currency stated on the applicable invoice.  If you do not pay your balance, we may deactivate your Subscription or access to each Service for nonpayment and charge a late fee.  For unpaid amounts, we reserve the right to retry your payment method.  If you choose to reactivate your Subscription, we may charge a reactivation fee, and will apply payments first to any past due amounts and then to your current and future obligations.  Carta, in its sole discretion, may refuse this payment option service to anyone or any user without notice for any reason at any time. 
  3. Responsibilities. 
    1. You will be responsible for payment if the electronic payment fails due to insufficient funds in your bank account or any other reason.  By choosing a payment method, you agree that: (a) you have read, understand and agree to these Payment Terms, and that this agreement constitutes a “writing signed by you” under any applicable law or regulation, (b) you consent to the electronic delivery of the disclosures contained in these Payment Terms, (c) you authorize Carta (or its agent) to make any inquiries we consider necessary to validate any dispute involving your payment, which may include ordering a credit report and performing other credit checks or verifying the information you provide against third party databases, and (d) if bank account payment method is selected, you authorize Carta (or its agent) to initiate one or more ACH debit entries (withdrawals) or the creation of an equivalent bank draft for the specified amount(s) from your bank account, and you authorize the financial institution that holds your bank account to deduct such payments.
    2. You are responsible for assuring that all the information provided as part of the Service, including information concerning the bank account or Card and Card data, is correct, accurate and complete.
    3. Each time you authorize a one-time or recurring payment, or provide information concerning your bank account or Card, you are representing, warranting, and confirming that:  (a) You are over 18 years of age;  (b) You have the appropriate authority to accept and agree to these Payment Terms; (c) You are an authorized user of the bank account or the holder of the Card and the Card is issued in your name; (d) You are authorized to make and authorize payments using the bank account or Card; and (e) There are sufficient funds and/or sufficient credit available on the Card account at the time each payment is processed to fund the payment in full, and will not dispute any scheduled transactions with your bank and Card issuer; so long as the transactions correspond to the terms.
    4. You agree to notify us of any changes in the account information for your bank account or Card prior to the next billing date.  You agree to notify us of any change to your contact information, including without limitation your email address.
    5. You are responsible for any charges or fees assessed against the bank account by the financial institution or Card by the Card issuer or any other third party.
  4. Partial Debits and Returned Payments.  If your full order is not processed by us at the same time, you hereby authorize partial debits from your bank account, not to exceed the total amount of your order.  You understand that in the case of an ACH transaction being rejected for non-sufficient funds (“NSF”), Carta (or its agent) may at its discretion attempt to process the transaction again, up to two additional times or as otherwise permitted by law, within 180 days, and you agree to pay an additional return fee for each attempt returned NSF which will be initiated as a separate transaction from the authorized payment.  This return fee will vary based on which jurisdiction you are located.  In the alternative, the return fee may be added to your payment amount and debited from your bank account if we resubmit an ACH debit due to insufficient funds.  You understand that in the case of a Card transaction being rejected for insufficient funds or any other reason, Carta (or its agent) may at its discretion attempt to process the transaction again, up to two additional times or as otherwise permitted by law, within 180 days.  We may initiate a collection process or legal action to collect any money owed to us.  You agree to pay all our costs for such action, including any reasonable attorneys’ fees.
  5. Cancellations and Refunds.  One-time purchases cannot be canceled or refunded.  You can cancel only future charges associated with your purchase.  To cancel a purchase made on the Carta website, please follow the instructions and procedures contained on the Carta website, in the agreement covering the Service.  Cancellations will become effective at the end of your current billing cycle or specified Subscription Term, as set forth in the applicable Order Form.  You understand that you are not waiving your rights under the Electronic Funds Transfer Act to stop payments by directly contacting the financial institution where you have the bank account specified by you as a payment method, and that the exercise of such rights does not constitute a breach of this authorization.
  6. Changes to Products and Services.  We reserve the right to make changes to our products and services at any time.  We reserve the right to issue refunds or credits at our sole discretion.  If we issue a refund or credit, we are under no obligation to issue the same or similar refund in the future.  If we temporarily reduce or eliminate the charge for content or access that you are currently paying for under different terms, you will not receive a refund.
  7. Payment Processor and Plaid.  The payment information supplied at the time of using the Service and authorizing payment may be processed by a payment processing services provider, and/or Plaid which will have access to certain information concerning you and your payment method and may request access to additional information about you.  Use of the information by the payment processor and/or Plaid is governed by the payment processor’s and/or Plaid’s privacy policy located at https://plaid.com/legal.  
  8. Use of the Internet.  By providing you payment information via the Internet you acknowledge that your personal information, including without limitation bank account and Card information, transmitted over the Internet may be susceptible to interception, misuse, hacking, theft and/ or fraud.
  9. Customer Service.  Transactions that we or our payment processor on our behalf process using your bank account, or credit or debit card will be identified on the statement issued by your bank or other financial institution holding your account.  Questions relating to any transactions made using your payment method by Carta should be initially directed to us.   Please save the order confirmations that you are provided when you make a purchase, and check them against your payment method account statement.  You may contact us regarding your Carta orders or any payments made using your bank account via the Carta Help Center at https://support.carta.com/s/article/carta-help-center.
  10. Transaction Errors.  You should contact us as soon as possible as provided in Section 9 (Customer Service) of these Payment Terms if you believe that any payment transaction initiated by Carta (or its agent) with respect to your payment method account is erroneous, or if you need more information about any such transaction.
  11. Password and Account Information.  If you believe the password associated with your Carta customer account or payment information provided to Carta has been lost or stolen, or if someone has attempted (or may attempt) to make a transfer from your payment method to complete a purchase using your Carta customer account without your permission, notify us immediately.  Carta reserves the right to cancel the ability to pay via any payment method on Carta or other website for any reason at any time.
  12. Liability for Unauthorized Bank Account Transactions.  Federal law limits your liability for any fraudulent, erroneous unauthorized transaction from your bank account, if used as your payment method, based on how quickly you report it to your financial institution.  You should report any fraudulent, erroneous or unauthorized transactions to your bank within 60 days after the questionable transaction FIRST appeared on your bank account statement.  You should contact your bank or credit card issuer for more information about the policies and procedures that apply to your account and any unauthorized transactions, including any limits on your liability.
  13. Electronic Delivery of Future Disclosures.  You agree to accept all disclosures and other communications between you and us on this website or at the primary e-mail address associated with your Carta account.  You should print and retain a copy of all such disclosures and communications.  
  14. Limitations on Liability and Exclusions of Warranties.  We and/or the payment processor, if any, are not liable for any inaccuracy, error or delay in, or omission of (a) any data, information or message, or (b) the transmission or delivery of any such data, information or message; or (c) any loss or damage arising from or occasioned by any such inaccuracy, error, delay or omission, non-performance or interruption in any such data, information or message.  Under no circumstances shall we and/or the payment processor, if any, be liable for any direct, indirect, incidental, special or consequential damages, or any damages whatsoever, including punitive or exemplary arising out of or in any way connected with the provision of or any inadequacy or deficiency in the processing of payments or resulting from unauthorized access or alteration of transmissions of data or arising from suspension or termination of the Service. NEITHER WE NOR THE PAYMENT PROCESSOR, IF ANY, MAKE ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO PROCESSING OF PAYMENTS UNDER THESE PAYMENT TERMS.
  15. Agreement Changes.  We may in our discretion change these Payment Terms, Carta’s Terms of Service and/or its Privacy Policy at any time without notice to you.  If any change is found to be invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any other changes or the remainder of these Payment Terms.  We reserve the right to subcontract any of our rights or obligations under these Payment Terms and Conditions.  YOUR CONTINUED USE OF YOUR PAYMENT METHOD ON CARTA WEBSITES OR FOR CARTA SERVICES ARE ACCEPTED AFTER WE CHANGE THESE PAYMENT TERMS, CARTA’S TERMS OF SERVICE AND/OR ITS PRIVACY POLICY CONSTITUTES YOUR ACCEPTANCE OF THESE CHANGES.  We may change, suspend, or terminate the availability or features of online payments at any time, without prior notice.
  16. Dispute Resolution/Governing Law.  These Payment Terms will be governed by the law of the jurisdiction set forth in the Master Subscription Agreement between you and Carta, without regard to choice or conflicts of law provisions.  Without limiting the foregoing, the Services shall be subject to the dispute resolution provisions in the terms and conditions governing each Service.
