Discover Carta Law Venture Financing: end-to-end Seed round legal execution for a flat fee. Combine proprietary AI with expert startup attorneys for faster, predictable closings.

When we raised our Series B in 2015, the legal bill was $25K. I thought that was outrageous. Today founders spend  $90K–$150K to close a Seed round, and most of it has nothing to do with legal work. It's document prep, proforma cap tables, chasing signatures, and confirming wires.

That money is better used building the company.

So founders found an alternative: SAFEs. Cheaper to close. No legal overhead. Faster to execute. VCs found it made deals easier to do.

We heard from the ecosystem. Founders want something affordable and predictable. VCs and accelerators want the protection that comes with a priced round. The best law firms want better solutions for their founders. That's why we built this.

Introducing Carta Law Venture Financing

Since launching  Carta Law, we've been taking the highest-volume legal work in private capital and automating it. We started with NDAs and compliance checks for some of the largest firms in the world. We then transitioned to LP transfers, which was our first foray into end-to-end transaction work. I’m excited to announce that Venture Financings will be our next transactional product.

Carta Law Venture Financing handles Seed financing end-to-end for a flat fee. Everything from term sheet review to pro-forma cap table modeling, and managing the closing process. This is backed by Carta’s proprietary AI and includes an experienced startup attorney on every deal.

Founders get these major benefits by working with Carta Law:

  • AI, backed by real lawyers. We’ve built proprietary AI used by Carta Law’s legal teams to deliver a better, faster experience for clients.

  • Built on Carta's Data Insights. Carta processes about 75% of all VC priced rounds. That's 55,000+ transactions of precedent baked into every document Carta Law generates. Founders get terms that investors recognize and accept.

  • End-to-end execution. One point of contact from term sheet to close. No handoffs, no gaps, no wondering who owns what.

  • Fixed, transparent pricing. A flat fee for standard financings - you know the number before you start.

Why this works at Carta

Carta Law is a bringing a differentiated approach to seed financings by being an AI-native law firm backed by an institutional grade software company with decades of experience.

We've always started with an exceptional human-led service and built the software and automation around it. We proved that model with cap tables, 409As, and fund administration. Carta Law is running the same playbook: take the highest-volume, most painful work in private capital, apply AI to the parts that can be routinely automated, and ensure there’s an expert in the loop to provide legal judgement where needed.

What makes this uniquely powerful is how Carta Law connects to everything else we've built. When Carta Law is working on closing a round, the documents flow directly into the pro forma. The pro forma updates the final cap table. The cap table feeds the 409A. The founder doesn't have to be the intermediary between their lawyers, their investors, and their cap table provider. Everything lives in one system, without the friction that usually comes with it.

The ecosystem sees it too

The best accelerators and investors already recognize a need to change the way we approach financings. That's exactly why Antler, Techstars, and 500 Global are going to market with us as launch partners. Collectively they’ve advised and backed more seed-stage founders than almost anyone. They're partnering with Carta Law because it lets them deliver better outcomes for their clients — faster closings, lower costs, less administrative burden — while they focus on the strategic work only they can do.

What's next

We're going to keep finding the most painful legal problems in private capital and solving them. Venture Financing is the first step for early-stage companies. It won't be the last.

If you are curious about what Carta Law can do for you on your next round, please reach out to your Carta rep and schedule time with us. We are looking forward to helping you close your round faster, cheaper, and with a lot less stress.
