Carta will work with you and a third party registered agent to form the following entities in the state of Delaware (DE):
Venture Fund, formed as a limited partnership (LP)
General Partner Entity, formed as a limited liability company (LLC)
Management Company, formed as a limited liability company (LLC)
Carta will provide the following fund formation documents.
Venture fund: term sheet, initial limited partnership agreement, amended and restated limited partnership agreement, subscription agreement, investment management agreement, and side letters
General Partner: LLC operating agreement and advisor letters
Management company: LLC operating agreement

Prospective LPs are invited to log in or create a Carta account. Once signed in, they'll be directed to sign subscription docs and complete the closing process. GPs will then be notified to countersign, with the option to send their first capital call automatically.
With data rooms, the entire fundraising process can take place on the Carta platform. The data room includes integration with fundraising and subscription document experience, easy control of access for GPs, tracking documents, and ability to watermark documents.
